The firm has cemented its reputation as a leader in relation to advising on the creation and the implementation of mandatory compliance models required by Legislative Decree 231/01 and “measures regulating the administrative liability of corporations”.

 

In particular, our team guides clients that require the introduction and implementation of a “231 model” through the required steps, including:
– conducting due diligence exercises and assisting with the mapping of risk areas and the drafting of risk analysis and gap analysis documentation;
– drafting compliance models, Ethics Codes and Codes of Conduct, as well as assistance with compliance procedures in general and with introducing and regulating whistleblowing systems;
– providing supervisory bodies with all assistance required;
– training and educating a corporation’s personnel.

BIOGRAPHY
Francesco assists Italian and international clients in relation to corporate law, commercial law, real estate (with a particular focus on the retail sector) and compliance matters.
He has gained significant experience in relation to the drafting and implementation of compliance models pursuant to Legislative Decree 231/2001 (including the related risk mapping, risk analysis and gap analysis) and sits on a number of supervisory boards.
He is often called to speak at conferences and seminars in relation to corporate law, corporate governance and privacy related topics.

Degree in maritime economics – Naval University of Naples

Giacomo provides tax and corporate advice to leading companies in a range of sectors, from logistics and express couriers, private care homes that have special arrangements with the NHS, petroleum companies and renewable energy operators, maritime transportation companies, manufacturers and others. He has particular experience in advising on tax aspects relating to Municipalities and Public Entities in general. Giacomo advises clients on special projects and reorganisations (mergers, demergers and transfers, etc.) and liquidations and insolvencies. He provides specialist opinions on the assessment of going concerns, financial consultancy services and business plans. He sits on board of statutory auditors. Giacomo also has significant experience of assisting and representing clients in tax litigation and with the Tax Authorities in general.

He acts as a technical consultant and in particular has acted as a technical expert in legal proceedings and in investigations into financial statements, measures pursuant to Article 2409 of the Civil Code, and in assessing and establishing damages in civil litigation in general.

Giacomo was a tax adviser, the role of partner, for ten years in one of the country’s leading auditing companies (one of the big four), where he provided specialist tax advice in relation to controls into the certification of financial statements, having assisted companies operating in a range of sectors.

He provides tax check-ups aimed at assessing the proper compliance with tax rules and requirements (tax audits).

He is enrolled with the Registered of Chartered Accountants and Accounting Experts for Rome.

BIOGRAPHY
Guido is an expert in corporate law, M&As, energy law and public services, with a particular focus on corporate transactions, including special projects, and acquisitions in the utilities sector, both at national and international level. He has advised on restructuring and privatisation transactions for public service sin developing countries. He also operates in the Capital Market and Private Equity sectors, in particular in relation to privatisation and development projects in Italy and abroad, transactions in the energy, hydro-environment and transport sectors. He represents clients in proceedings before the main independent administrative authorities (the Bank of Italy, financial markets watchdog CONSOB, the Privacy Authority, the Communications Authority, AEEG, etc.).

She was on secondment with an important law firm in Munich where she provided Italian and German legal assistance on corporate law and international contracts matters.
