BANKING AND FINANCE

The firm assists Italian and international banks, financial institutions and investment funds, individuals and also industrial companies in relation to a broad range of domestic and cross-jurisdictional banking and financial transactions.

Quorum regularly advises on finance acquisition transactions (industrial, commercial and financial), real estate finance and asset finance. Our team assists clients with structuring finance transactions, working alongside our team of tax experts, and with the drafting and negotiation of all contractual documents. The team also provides legal opinions as and when required by clients.

Quorum also supports clients in the following sectors:

 

Fund Formation e Private Equity: the firm provides 360° assistance to alternative investment fund, from the clearance stage right through to setting up funds as well as full assistance with the acquisition and disposal of companies and assets.

 

Fintech: Quorum was one of the first firms in Italy to provide Fintech and Insurtech companies with the legal assistance they required to set up in Italy and to develop and expand their business, including assisting with funding rounds.

 

Compliance: the firm assists regulated operators in the banking and finance sectors with regulatory compliance requirements, which regulate the provision of services, with liaising with the supervisory authorities and with the drafting and revision of all contractual documentation required by retail and institutional clients.

 

Banking Litigation: the firm assist corporations and individuals in relation to litigation with credit institutions relating to derivatives and market abuse.

BIOGRAPHY
Andrea graduated in 1996 (cum laude) with a thesis on bankruptcy law and has been registered with the Bar Association for Rome since 1999. Since 2011 he has had rights of audience before the Supreme Court and the High Courts.
From 2012 to 2014 he was Head of Litigation at the law firm Carnelutti in Rome.
Andrea is an expert in commercial, civil and corporate litigation, assisting corporations, entities and individuals. He provides in-house advisory services, assisting his clients in all stages of their respective business, including day to day requirements.

PUBLICATIONS
Andrea is often called to speak at events on civil and medical liability, the most recent of which was held at the La Sapienza University in Rome further to entry into force of Law 24/2017, introducing the healthcare reform.
He is a speaker on commercial, corporate and sports law related topics.
A professor at the Summer School of Chinese and Latin American Law at the University of Brescia on comparative banking law.

Guido is an expert in corporate law, M&As, energy law and public services, with a particular focus on corporate transactions, including special projects, and acquisitions in the utilities sector, both at national and international level. He has advised on restructuring and privatisation transactions for public service sin developing countries. He also operates in the Capital Market and Private Equity sectors, in particular in relation to privatisation and development projects in Italy and abroad, transactions in the energy, hydro-environment and transport sectors. Graduated cum laude in law from Naples Università Federico II.
Roberto has worked from London, Brussels and New York, gaining important international experience with leading law firms. He collaborated with the Italian Communications Authority, advising on competition in the TMT sector, M&As, private equity and finance.
He provides legal advice in relation to complex corporate projects, both distressed and cross border, and to private equity and venture capital investments. Roberto assists clients with setting up alternative property and asset investment funds. Fabio has practices as a lawyer since 1986 and in addition to being a partner in leading international laws, he gained significant experience working for multinational US and UK corporations in the automotive sector on complex supply and distribution arrangements, joint-ventures, crisis situations with key suppliers and recall campaigns. He assists mid-size Italian corporations in relation to their expansion internationally, in particular in Germany, Turkey and France via either direct investment or setting up agency and distribution networks. Specialising in this niche area, Fabio has assisted some of Italy’s largest corporations over the last ten years on software financing, including resolving issues relating to creating, licensing, using and defending software products.
